Fraud, Abuse, and Right to Terminate Affiliate Relationships

We reserve the right, in our sole discretion, to review, monitor, and investigate Affiliate activity for potential fraud, abuse, or suspicious behavior. This includes, but is not limited to, false referrals, self-purchases, incentivized traffic, misleading advertising, unauthorized use of trademarks, or any activity that may harm the reputation of Natural Cure Labs.

If we determine, in our sole judgment, that an Affiliate has engaged in fraudulent, abusive, or suspicious tactics, we reserve the right to:

1. Withhold or revoke any unpaid commissions (regardless of whether they have already been reported as earned).
2. Suspend or terminate Affiliate status immediately, without prior notice.
3. Pursue legal remedies for damages, if applicable.

Our decisions regarding fraud, abuse, or suspicious activity are final.

Affiliate Termination & Suspension

We reserve the right, in our sole discretion, to suspend or terminate your participation in the Affiliate Program at any time, with or without cause, and without prior notice. Grounds for termination or suspension include, but are not limited to:

1. Fraudulent or Deceptive Activity
   1. Generating clicks, leads, or sales through false, misleading, or deceptive means.
   2. Self-referrals, fake accounts, or incentivized traffic.
   3. Misrepresentation of products, services, or offers.
2. Violation of Policies or Laws
   1. Failure to comply with these Affiliate Terms & Conditions, applicable advertising guidelines, or platform rules (e.g., FTC disclosure requirements).
   2. Use of unauthorized or non-compliant marketing methods, including spam, adware, malware, or cookie stuffing.
3. Brand Misuse or Reputational Harm
   1. Unauthorized use of our trademarks, logos, or creative assets.
   2. Creating content or campaigns that damage, dilute, or misrepresent the Natural Cure Labs brand.
4. Suspicious or Abusive Behavior
   1. Any activity that we, in our sole judgment, consider suspicious, abusive, or inconsistent with the intent of our Affiliate Program.

If we determine that you have engaged in any of the above, we may, at our sole discretion:

• Withhold, deny, or revoke any unpaid commissions (regardless of whether they have already been reported as earned).
• Permanently terminate your Affiliate account.
• Pursue legal remedies for damages, if applicable.

Our determinations regarding violations, fraud, abuse, or suspicious activity are final and binding.

Pre-Suit Notice and Opportunity to Cure

IMPORTANT — PLEASE READ CAREFULLY.

Before initiating any lawsuit, demand, administrative complaint, or other legal proceeding (collectively, a "Legal Action") against Natural Cure Labs LLC or any of its affiliates, officers, directors, employees, or agents relating to the accessibility of the Sites or any alleged violation of federal, state, or local disability access or accommodation laws (including but not limited to the Americans with Disabilities Act, the New York State Human Rights Law, the New York State Civil Rights Law, the New York City Human Rights Law, the California Unruh Civil Rights Act, or any similar law or regulation), you agree to provide us with:

   1. A detailed description of the alleged accessibility barrier(s);

2. A minimum cure period of sixty (60) days from the date we receive such written notice, during which Natural Cure Labs LLC shall have the opportunity to investigate and, if warranted, remedy or provide reasonable accommodation for the alleged accessibility barrier(s) before any Legal Action is filed.
3. Good faith participation in informal resolution efforts during the cure period, including, if requested by either party, a telephone or video conference to discuss the alleged barrier(s) and potential remediation.

This pre-suit notice and cure requirement is a condition precedent to any Legal Action and applies in addition to (not in lieu of) the dispute resolution provisions set forth elsewhere in these Terms of Use. Failure to comply with this provision may be raised as a defense in any Legal Action.

Natural Cure Labs LLC reserves all rights and defenses and does not waive any right, claim, or defense by providing or agreeing to this notice and cure process.

 

Disputes and Agreement to Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

This Section constitutes a written agreement to arbitrate under the Federal Arbitration Act. You and Natural Cure Labs LLC agree that any disputes between us shall be resolved through binding arbitration on an individual basis, and not in court.

1. Informal Dispute Resolution

We are committed to resolving disputes amicably and efficiently. Before initiating arbitration, you agree to notify us of your complaint in writing by emailing info@naturalcurelabs.com and providing a brief description of your claim. We will attempt to resolve the matter within 60 days. Only if this informal process is unsuccessful may you initiate arbitration.

2. Agreement to Individual Arbitration

If unresolved, any dispute, controversy, or claim related in any way to your use of the Web Site, purchases, or interactions with Natural Cure Labs LLC (collectively, "Disputes") shall be resolved by individual binding arbitration conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the arbitration is initiated. Arbitration shall be conducted by a single, neutral arbitrator and governed by the FAA and applicable Florida law.

3. Anti-Mass Arbitration Measures

To protect against unfair procedural burdens, the following provisions apply:

• Sworn Declaration Requirement: Each claimant must personally sign and submit a sworn declaration affirming:
  (a) the factual basis of their individual claim,
  (b) that they are the actual party in interest, and
  (c) their requested relief.
  Claims failing to meet this requirement may not proceed.
• Staggered Filing (Batching Procedure): If 25 or more similar demands are submitted by or through the same law firm or coordinated group, only the first 10 may proceed immediately. The rest will be staged in batches of up to 10 and arbitrated sequentially, with each batch initiated only after the prior batch concludes.
• Fee Allocation and Timing: Arbitration-related fees will be fairly allocated based on the circumstances and governing rules. No arbitration fees will be due unless and until a claim is accepted and arbitration formally commences in accordance with the above.
• Right to Opt Out of Mass Arbitration: If more than 50 similar demands are filed within a 60-day period by or through the same law firm or group, Natural Cure Labs LLC reserves the right to decline arbitration for such claims. In such a case, disputes shall be resolved in a court of competent jurisdiction instead.

4. No Class Actions or Representative Proceedings

YOU AND NATURAL CURE LABS LLC AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY.
Neither party shall bring claims as a plaintiff or class member in any purported class, collective, coordinated, or representative proceeding, whether in arbitration or in court.

5. Arbitration Location and Format

Arbitration will take place:
(a) at a location mutually agreed upon, or
(b) if claims are under $10,000 and only involve the consumer, via phone, video conference, or written submission, at the claimant’s discretion.

6. Governing Law

This Arbitration provision and any Disputes shall be governed by the Federal Arbitration Act, and, where applicable, the laws of the State of Florida, without regard to conflict of law principles.

7. Small Claims Court Option

You may elect to bring a claim in a U.S. small claims court instead of arbitration if your claim qualifies, provided the dispute remains an individual action.

8. Severability

If any provision of this Arbitration section (except the Class Action Waiver in Section 4) is found unenforceable, the remaining provisions shall remain in full force. If the Class Action Waiver is unenforceable, the entire arbitration provision shall be null and void.

Indemnity

You agree to indemnify and hold Natural Cure Labs, our subsidiaries, officers, directors, employees, successors and assigns, harmless from any claim, loss or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of our Web Site, your connection to our Web Site, your violation of these Terms and Conditions, or your violation of any rights of another party. This indemnity survives termination of these Terms and Conditions.

General

Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision by us. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of our Terms and Conditions remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Web Site or our Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Entire Agreement

These Terms and Conditions, and any other documents and policies referenced herein, constitute the complete and exclusive understanding between Natural Cure Labs LLC and you relating to the subject matter hereof and supersedes any prior versions of these Terms and Conditions as well as all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter.

These Terms and Conditions may be revised at any time and from time to time by updating this posting.
